Terms & Conditions

These Terms & Conditions govern the use of services provided by OURACO.
By engaging with OURACO, you acknowledge that you have read, understood, and agreed to these terms.

1. Engagement Eligibility

OURACO provides strategic advisory services exclusively to founders and organizations with the resources,
commitment, and readiness to execute at a high level. Engagements are limited each year to maintain
depth of focus and exclusivity. Acceptance of any client is solely at OURACO’s discretion.

2. Scope of Services

OURACO delivers strategic blueprints including positioning, go-to-market frameworks, growth architecture,
and disruption advisory. We do not execute advertising campaigns, manage media buying, or provide
day-to-day marketing services. Responsibility for execution lies with the client’s internal team or agency.

3. Confidentiality

All materials shared between OURACO and its clients are treated as confidential. OURACO agrees not to
disclose, share, or use confidential information outside the scope of the engagement, except as required
by law or with explicit written consent.

4. Fees and Payments

OURACO engagements require upfront commitment fees and performance-based compensation where applicable.
All fees are non-refundable unless explicitly stated otherwise in the engagement agreement.
Payment terms are outlined in the individual client contract.

5. Intellectual Property

Strategic frameworks, methodologies, and intellectual property created by OURACO remain the sole property
of OURACO unless explicitly transferred by written agreement. Clients are granted a non-exclusive license
to use deliverables for their internal business purposes.

6. Limitation of Liability

OURACO provides strategy advisory services in good faith but does not guarantee specific outcomes,
investments, or financial performance. OURACO shall not be held liable for any indirect, incidental,
or consequential damages arising from the engagement.

7. Termination

Either party may terminate the engagement with written notice, subject to the terms outlined in the
client agreement. Fees for work already performed remain payable and non-refundable.

8. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the
State of Florida, without regard to conflict of law principles.
